These Terms of Service ("Terms") govern your access to and use of the website, content, and services provided by Scale Operations ("Scale Operations", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use our services. If you use the services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. The Services
Scale Operations provides feedback-intelligence services that analyze interactions between shoppers and e-commerce stores' AI agents to generate actionable feedback, along with a Partner Program. We may modify, suspend, or discontinue any part of the services at any time.
3. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the services. By using the services, you represent that you meet these requirements.
4. Accounts and accuracy
You are responsible for the accuracy of information you provide and for maintaining the confidentiality of any credentials. You are responsible for activity that occurs under your account.
5. Acceptable use
Your use of the services is subject to our Acceptable Use Policy. You agree not to misuse the services, interfere with their operation, or use them for any unlawful purpose.
6. Intellectual property
The services, including all software, text, graphics, logos, and trademarks, are owned by Scale Operations or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the services in accordance with these Terms. You may not copy, modify, distribute, or create derivative works without our prior written consent.
7. Third-party services
The services may integrate with or link to third-party platforms and channels. We are not responsible for the content, policies, or practices of any third party.
8. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT FEEDBACK WILL ACHIEVE ANY PARTICULAR RESULT.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCALE OPERATIONS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD 100.
10. Indemnification
You agree to indemnify and hold harmless Scale Operations and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the services or violation of these Terms.
11. Termination
We may suspend or terminate your access to the services at any time, with or without cause or notice. Provisions that by their nature should survive termination will survive.
12. Governing law
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-laws principles. The courts located in Delaware will have exclusive jurisdiction, except where applicable law provides otherwise.
13. Changes to these Terms
We may revise these Terms from time to time. The updated version will be posted here with a new "Last updated" date. Your continued use of the services after changes take effect constitutes acceptance.
